OEM Agreement
In order to give full play to the resource advantages of the enterprises of both sides, in line with the principle of mutual benefit,win-win and common development, the two sides reached the following terms on OEM production:
1. The exchange of enterprise credit materials between the two parties must be authentic and effective, otherwise the losses arising therefrom shall be borne by the breaching party.
2. Ways of Cooperation
1. Party A entrusts Party B to produce transformers and other products with the company name, address and brand identification of Party A. Party B guarantees that the products produced do not infringe upon any third party's intellectual property rights and legitimate rights and interests.
2. Party B guarantees that the indicators of the products provided conform to the current product standards of customers and the relevant requirements of national standards, and that the products provided conform to the relevant environmental protection requirements.
3. OEM products are sold entirely by Party A. Party B is not responsible for the sale. Party B shall not sell the OEM products entrusted by Party A to any third party.
4. After the expiration or termination of the cooperation, Party B shall not reproduce or sell the products with Party A's brand logo in any form.
5. Party A has the right to dispatch personnel to supervise the raw materials, accessories, the whole process of production, product quality, etc. of OEM products. Party B cooperates and assists with all efforts.
3. Place, manner and cost of delivery (delivery)
1. It is decided by the two parties through consultation.
2. Costs for product packaging and plate making shall be negotiated between the two parties.
4. Product Packaging and Protection Requirements
1. Party A shall provide design drafts for packaging, color boxes, instructions, labels, nameplates, certificates of conformity, warranty cards, etc. Party B shall bear the costs of procurement, production and production, and Party A shall confirm and seal the samples.
2. After the expiration or termination of the cooperation between the two parties, Party B shall not have the right to use or produce any product with Party A's logo in any way.
5. Brand Management
1.The ownership of the trademark provided by Party A (including packaging design, graphics, Chinese characters, English and its combination, etc.) belongs to Party A. Party B shall use the trademark within the scope authorized by Party A and shall not transfer or expand the scope of its use without authorization.
2. After the expiration or termination of the cooperation between the two parties, Party B shall not have the right to use or produce any product with Party A's logo in any way.
6. After-sales Service
1. The after-sale and warranty period shall be negotiated between the two parties.
2. Party B strictly fulfills the relevant obligations stipulated in the Product Quality Law of the People's Republic of China. Party B shall make every effort to solve the problems of return and exchange of goods caused by Party B's quality problems, and the related expenses shall be borne by Party B; Party A shall be responsible for the related expenses incurred in the damage of products caused by abnormal use.
